2. Definitions
"Account" means the registered profile used to access the Service.
"Customer", "you", or "your" means the individual or organization using the Service.
"Customer Content" means documents, files, metadata, annotations, instructions, outputs, and other materials uploaded, generated, or stored by or for the Customer through the Service.
"Subscription" means a paid or free plan that determines available features, limits, and pricing.
"Authorized Users" means individuals permitted by the Customer to access the Service under the Customer's Account or organization.
3. Eligibility and accounts
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an Account and use the Service.
You are responsible for the accuracy of registration information, safeguarding credentials, and all activity occurring under your Account.
You must promptly notify us of any unauthorized access or security incident related to your Account.
4. Permitted use and restrictions
You may use the Service only in compliance with applicable law, these Terms, and any documentation or usage limits applicable to your Subscription.
You may not:
- reverse engineer, decompile, or attempt to extract source code except where permitted by mandatory law;
- interfere with or disrupt the Service, circumvent access controls, or probe systems without authorization;
- upload malware, unlawful content, or material that infringes third-party rights;
- use the Service to develop competing products by systematically extracting outputs, embeddings, or underlying models;
- resell or sublicense the Service except as expressly authorized in writing;
- use the Service for high-risk activities where failure could lead to death, personal injury, or severe environmental or property damage without appropriate human oversight and safeguards.
5. Customer Content and license
You retain ownership of Customer Content. You grant Pura Digital a limited, non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer Content solely to provide, maintain, secure, and improve the Service, and as otherwise described in the Privacy Notice and any applicable Data Processing Agreement (DPA).
You represent that you have all rights, consents, and legal bases necessary to upload Customer Content and to authorize its processing through the Service.
You are responsible for configuring permissions, collections, API keys, MCP authorizations, and other access controls.
6. Subscriptions, billing, and taxes
Paid Subscriptions renew automatically for the selected billing period unless cancelled in accordance with the applicable cancellation process.
Fees are due in advance and are exclusive of applicable taxes unless stated otherwise. You authorize us and our payment provider to charge the payment method on file.
We may change prices for future billing periods with reasonable prior notice. Continued use after the effective date constitutes acceptance of the new price for the next renewal.
Except where required by law, fees already paid are non-refundable. Downgrades or cancellations take effect at the end of the current billing period unless otherwise stated.
7. Intellectual property
Pura Digital and its licensors retain all rights, title, and interest in the Service, software, documentation, branding, and all related intellectual property, except for Customer Content.
No rights are granted except as expressly set out in these Terms. Feedback may be used by Pura Digital without restriction or compensation.
8. Privacy and data protection
Personal data is processed in accordance with the ArchivEye Privacy Notice. Where Pura Digital processes personal data contained in Customer Content on behalf of a Customer, the parties will enter into or accept a DPA as required by applicable law.
Customers are responsible for determining whether their use of the Service is appropriate for the categories of data they upload and for obtaining any required notices or consents from data subjects.
9. Third-party services and integrations
The Service may interoperate with third-party products such as identity providers, payment processors, cloud infrastructure, and AI clients. Those services are governed by their own terms and policies.
Pura Digital is not responsible for third-party services outside its reasonable control. Enabling an integration constitutes authorization for the exchange of data needed to operate that integration.
10. Availability, support, and changes
We use commercially reasonable efforts to keep the Service available and secure, but uninterrupted or error-free operation is not guaranteed.
We may modify, suspend, or discontinue features with reasonable notice when practicable. Material adverse changes to paid features will be communicated in advance where required by law or contract.
Support scope and response times may depend on the Subscription plan.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available". Pura Digital disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of outputs generated through AI-assisted features.
You are responsible for reviewing outputs and for decisions made on the basis of information retrieved from the Service.
12. Limitation of liability
To the maximum extent permitted by law, Pura Digital will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption.
Pura Digital's aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts paid by you to Pura Digital for the Service in the twelve months preceding the event giving rise to the claim, or (b) EUR 100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.
13. Indemnification
You will defend, indemnify, and hold harmless Pura Digital and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Service in violation of these Terms or applicable law, or your infringement of third-party rights.
14. Suspension and termination
You may stop using the Service and cancel your Subscription at any time through the account settings or by contacting us.
We may suspend or terminate access immediately if you materially breach these Terms, create security or legal risk, fail to pay applicable fees, or if required by law.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will remain in effect, including those relating to fees owed, intellectual property, disclaimers, limitations of liability, and indemnification.
15. Governing law and disputes
These Terms are governed by Italian law, without regard to conflict-of-law rules.
For consumers resident in the European Union, mandatory consumer protection rules of the country of residence remain unaffected.
The courts of Naples, Italy have exclusive jurisdiction over disputes arising from these Terms, subject to mandatory provisions on consumer jurisdiction.
16. Changes to these Terms
We may update these Terms to reflect legal, technical, or business changes. We will publish the updated version on the website and update the "Last updated" date.
If changes are material, we will provide reasonable notice before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
